CUSTOMER TERMS & CONDITIONS

These Customer Terms & Conditions apply to estimates, proposals, work authorizations, service work, installations, repairs, and other services performed by Werner Water Systems LLC (“Werner Water Systems”). By approving a proposal, authorizing work, or otherwise engaging Werner Water Systems to perform services, the customer agrees to the applicable scope of work, pricing, payment terms, exclusions, warranties, and these Customer Terms & Conditions.

Scope of Work and Additional Work
Work is limited to the scope specifically described in the applicable estimate, proposal, or work authorization. Any work, materials, equipment, or services not specifically included are excluded. Customer-requested changes or additional work may result in additional charges.

Unforeseen and Concealed Conditions
Estimates and proposals are based on conditions known or reasonably observable at the time they are prepared. Werner Water Systems is not responsible for concealed, underground, inaccessible, or unforeseen conditions, including but not limited to ledge, buried utilities, deteriorated piping or wiring, inaccessible equipment, subsurface conditions, well conditions, or previously unknown defects. Additional labor, materials, equipment, or services required because of such conditions may be charged separately.

Existing Equipment and Materials
Werner Water Systems is not responsible for the condition, performance, compatibility, or subsequent failure of existing equipment, pumps, tanks, piping, wiring, controls, treatment equipment, wells, or other components that are reused, reconnected, or otherwise not specifically included as new equipment in the scope of work. Existing equipment or materials that are removed and reinstalled are not warranted by Werner Water Systems.

Water Quality and Water Quantity
Unless specifically guaranteed in writing, Werner Water Systems makes no guarantee or warranty regarding water quality, potability, water quantity, well yield, recovery rate, static water level, groundwater level, or continued availability of water. Well and groundwater conditions may vary seasonally and over time and are outside the control of Werner Water Systems.

Water treatment equipment is selected and designed based upon water conditions, laboratory results, system information, and other conditions known at the time of the proposal or installation. Changes in raw water quality, water usage, well conditions, plumbing conditions, or other factors may affect treatment performance and may require additional equipment, service, maintenance, testing, or adjustment.

Testing and Treatment Results
Water testing, sampling, disinfection, chlorination, filtration, treatment, or other corrective work does not constitute a guarantee that water will remain free of bacteria, contaminants, minerals, odors, staining, sediment, or other water-quality conditions unless specifically stated in writing. Follow-up testing is not included unless specifically identified in the scope of work.

Work by Others and Exclusions
Unless specifically included in writing, electrical work, excavation, landscaping, paving, masonry, carpentry, plumbing outside the stated scope, engineering, environmental remediation, permits, testing, and work performed by other contractors or trades are excluded. Werner Water Systems is not responsible for work performed by others or for damage, delays, or system failures resulting from such work.

Property and Site Conditions
The customer is responsible for providing reasonable access to the work area and identifying known private utilities, underground systems, septic components, irrigation systems, electrical lines, and other concealed improvements. Werner Water Systems will exercise reasonable care while performing work but is not responsible for unavoidable disturbance to lawns, landscaping, driveways, walkways, finished surfaces, or other areas when such disturbance is reasonably necessary to perform the contracted work.

Events Beyond Our Control
Werner Water Systems shall not be responsible for delays, damages, failures, or additional costs caused by circumstances beyond its reasonable control, including severe weather, drought, flooding, freezing, lightning, electrical disturbances or power surges, utility interruptions, fire, natural disasters, groundwater changes, material or equipment shortages, governmental actions, acts or omissions of other contractors or property owners, acts of God, or similar circumstances beyond our control.

Warranty

New equipment is subject to the applicable manufacturer's warranty and its terms, limitations, and exclusions. Unless otherwise stated in writing, Werner Water Systems warrants its workmanship for one (1) year from completion. Warranty coverage does not include normal wear, consumable items, routine maintenance, misuse, neglect, freezing, lightning, electrical disturbances, changes in water quality or groundwater conditions, changes in well yield, or failures caused by existing equipment, customer-supplied equipment, or work performed by others.

Payment
Unless otherwise stated in writing, final payment is due upon completion of the work. Deposits and progress payments, when applicable, are due according to the applicable proposal or invoice. Past-due balances may be subject to finance charges up to the maximum amount permitted by applicable law. The customer may also be responsible for reasonable collection costs, court costs, and attorneys' fees incurred in collecting past-due amounts to the extent permitted by law.

Proposal Pricing
Unless otherwise stated, proposal pricing is valid for thirty (30) days. Pricing may be revised thereafter due to changes in material, equipment, freight, labor, or other project costs.

Authorization and Acceptance
Approval of a Werner Water Systems proposal constitutes authorization to perform the work described and acceptance of the applicable scope, pricing, payment terms, exclusions, warranty provisions, and these Customer Terms & Conditions.

Applicable Law
These Customer Terms & Conditions shall be governed by the laws of the State of Connecticut. Nothing contained herein is intended to waive or limit any right or obligation that cannot legally be waived or limited.
